Company Profile Founded in 1997, Malmgren & Associates, Ltd. began as a boutique Corporate-Finance and Investment-Banking firm with an emphasis on lower middle-market leveraged buyout, business finance and general investment transactions. The firm evolved from the development of high-yield, direct-investment opportunities financed through institutional lenders, investors and high net-worth individual participations. In addition to direct-equity investments, Malmgren & Associates has sought equity and derivative interests in the going-forward concerns associated with client corporate-finance and advisory activities. Through Directorships, Senior Advisory roles together with activities of an affiliated private-equity and business management company operational participation has been considered, particularly in the area of strategic planning. Ventures have included turnaround and distressed assets. Historically

ventures with capital through debt placement to commercial finance companies,
non-bank divisions of large international banks and the utilization of NASD
Registered Broker/Dealers. Capital needs served have included working-capital
lines of credit, business expansion capital, purchase order and contract
transaction financing, capital equipment leasing, leveraged-finance credit
facilities, commercial real estate financing and private-placement long-term
bond financing; taxable and non-taxable. Additional capital formation has
been made available utilizing mezzanine and private-equity resources.
